Goodae Pte. Ltd. ("Goodae", "we", "our" or "us") operates a digital platform that connects individuals, organisations and communities through volunteering, social impact initiatives and meaningful opportunities to contribute to society.
Our mission is simple: to make doing good easier.
These Terms & Conditions ("Terms") govern your access to and use of the Goodae website, applications and related services (collectively, the "Platform").
By creating an account, accessing the Platform or using any of our services, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree with these Terms, you should not use the Platform.
Goodae is more than a technology platform.
We are building a trusted community where individuals and organisations can work together to create positive social impact.
We ask everyone using Goodae to uphold the following values:
These values guide how we operate the Platform and how we apply these Terms.
In these Terms:
Account means a registered Goodae account.
Content means any text, images, videos, documents, comments, messages, volunteer records, listings or other materials uploaded or shared through the Platform.
Organisation means any charity, non-profit organisation, social enterprise, school, business, government agency or other entity using Goodae.
Platform means the Goodae website, mobile applications and related digital services.
Services means the features and services made available through the Platform, including volunteer matching, organisation management tools and related functionality.
User, "you" or "your" means any individual accessing or using the Platform.
Volunteer Opportunity means any volunteering activity, programme, event or initiative listed on the Platform.
You may use Goodae if you:
If you are using Goodae on behalf of an Organisation, you confirm that you have authority to act on its behalf and to accept these Terms for that Organisation.
Where required by law or by an Organisation, minors must obtain the consent of a parent or legal guardian before participating in certain Volunteer Opportunities.
Some features require an Account.
When creating an Account, you agree to:
You are responsible for activities carried out through your Account unless the activity results from Goodae's own negligence or security failure.
You must not:
Goodae may suspend or restrict Accounts while verifying information where reasonably necessary to protect the Platform or its Users.
Goodae depends on trust.
Every User contributes to the experience and safety of the community.
By using the Platform, you agree to:

You are responsible for ensuring that information you provide through the Platform is accurate and not misleading.
While Goodae encourages Users and Organisations to provide accurate information, we do not independently verify every profile, Organisation, Volunteer Opportunity or piece of Content unless expressly stated.
Users should exercise reasonable judgement before participating in any Volunteer Opportunity or relying on information published through the Platform.
We recognise that misunderstandings may occur.
Users and Organisations are expected to engage with one another honestly, respectfully and in good faith.
Where disputes arise, we encourage parties to communicate constructively and seek practical resolutions before escalating matters.
You are responsible for ensuring that your use of the Platform complies with all applicable laws, regulations and legal obligations.
Nothing in these Terms authorises conduct that is unlawful or infringes the rights of others.
By creating an Account or using the Platform, you agree that Goodae may send you electronic communications relating to:
You may manage certain communication preferences through your Account settings where available.
However, you cannot opt out of communications that are necessary to administer your Account, protect Platform security or comply with legal obligations.
To maintain a safe and trustworthy community, Goodae may take reasonable steps to monitor the use of the Platform and investigate activity that we reasonably believe may:
Where reasonably necessary, we may request additional information, temporarily restrict certain features or take other proportionate measures to protect the Platform while enquiries are ongoing.
Goodae provides a platform that enables Organisations to create, publish and manage Volunteer Opportunities, and allows Users to discover, apply for and participate in those opportunities.
Unless expressly stated otherwise, Goodae's role is limited to providing the Platform.
Goodae is not the organiser, employer, principal, agent, contractor or supervisor of Volunteer Opportunities offered by third-party Organisations.
Volunteer Opportunities are created and managed by the respective Organisations, which are solely responsible for their planning, conduct and administration.
While Goodae encourages accurate and complete information, we do not guarantee that every Volunteer Opportunity will be available, suitable or meet your expectations.
Participation in any Volunteer Opportunity is voluntary and is undertaken at your own discretion.
Goodae does not guarantee that:
Users are responsible for assessing whether a Volunteer Opportunity is appropriate for their own circumstances, abilities and health before participating.
The Platform may allow Organisations to record volunteer attendance, participation, service hours or achievements.
Unless expressly stated otherwise, these records are submitted or verified by the relevant Organisation.
Goodae provides the technology used to record or display such information but does not independently verify every attendance record, volunteer hour or impact report.
Where a User believes that a volunteer record is inaccurate, they should first contact the Organisation responsible for the Volunteer Opportunity. Goodae may assist in resolving disputes where appropriate but is not responsible for determining the accuracy of records maintained by third parties.
The safety and wellbeing of volunteers is important to Goodae.
However, responsibility for planning and conducting Volunteer Opportunities rests primarily with the organising Organisation.
Users should:
If you believe that a Volunteer Opportunity presents significant safety concerns or breaches these Terms, we encourage you to report the matter to Goodae.
Organisations play an important role in maintaining a safe, respectful and trustworthy volunteering ecosystem.
By using Goodae, Organisations agree to act honestly, responsibly and in accordance with applicable laws.
Organisations are responsible for:
Where applicable, Organisations should also ensure that volunteers receive any necessary orientation, instructions or training relevant to the activity.
Unless expressly stated otherwise by Goodae, Organisations are responsible for determining whether insurance is required for their Volunteer Opportunities.
Where insurance is legally required or reasonably appropriate, Organisations are responsible for obtaining and maintaining such insurance.
Goodae does not provide insurance coverage for Volunteer Opportunities organised by third parties unless expressly stated.
Organisations working with children, vulnerable persons or other protected groups are responsible for ensuring that appropriate safeguarding measures are in place in accordance with applicable laws and recognised good practices.
Goodae may remove or restrict Volunteer Opportunities that appear to present unreasonable risks to volunteers or beneficiaries.
Goodae respects your privacy.
Our collection, use, disclosure and protection of personal information are governed by our Privacy Policy.
By using the Platform, you acknowledge that Goodae may collect and process personal information as described in our Privacy Policy for purposes including:
Where an Organisation receives personal information through the Platform, that Organisation is independently responsible for handling such information in accordance with applicable privacy laws.
Goodae may use technology, including automation and artificial intelligence ("AI"), to improve the Platform and enhance user experience.
This may include assisting with:
AI-assisted features are intended to support—not replace—human judgement.
Users and Organisations remain responsible for making their own decisions and should not rely solely on automated recommendations.
Goodae continually improves its technology but does not guarantee that AI-generated recommendations or automated processes will always be accurate, complete or suitable for every circumstance.
Unless otherwise stated, the Platform and its contents—including software, design, text, graphics, logos, trademarks, databases, source code, user interface elements and other intellectual property—are owned by or licensed to Goodae and are protected by applicable intellectual property laws.
Subject to these Terms, Goodae grants you a limited, non-exclusive, non-transferable and revocable licence to access and use the Platform solely for its intended purpose.
You must not, without our prior written permission:
Nothing in these Terms transfers ownership of Goodae's intellectual property to you.
You retain ownership of the Content that you upload or submit through the Platform.
By submitting Content to Goodae, you grant us a worldwide, non-exclusive, royalty-free licence to use, reproduce, store, display, adapt and process your Content solely for the purposes of:

Goodae reserves the right to remove or restrict Content that we reasonably believe breaches these Terms, infringes the rights of others or may compromise the safety, security or integrity of the Platform.
We welcome suggestions and ideas that help improve Goodae.
If you voluntarily provide feedback, suggestions or recommendations about the Platform or our Services, you agree that Goodae may use them without any obligation to compensate you. This does not affect your ownership of any intellectual property you already hold outside of such feedback.
Goodae is committed to fostering a safe, respectful and trustworthy community for everyone who uses the Platform.
We encourage Users and Organisations to interact honestly, communicate respectfully and contribute positively to the communities they serve.
Where conduct threatens the safety of others, undermines trust, or compromises the integrity of the Platform, Goodae may take reasonable action to protect the community.
Our decisions will generally be guided by fairness, proportionality and the information reasonably available to us at the time.
If you believe that a User, Organisation, Volunteer Opportunity or other activity on the Platform breaches these Terms or may place others at risk, we encourage you to report it to Goodae.
Examples include:
Reports should be made honestly and in good faith.
Intentionally false, malicious or misleading reports may themselves constitute a breach of these Terms.
Where Goodae reasonably believes that these Terms may have been breached, or that action is necessary to protect the Platform or its Users, we may investigate the matter.
Depending on the circumstances, we may:
We aim to conduct investigations fairly and proportionately.
However, Goodae is not obligated to investigate every report or resolve disputes between Users and Organisations.
To protect the safety of our community and the integrity of the Platform, Goodae reserves the right to suspend, restrict or permanently terminate access to all or part of the Platform where we reasonably believe such action is necessary.
This may include situations where a User or Organisation:
Where reasonably practicable, we will seek to notify you before taking enforcement action.
However, Goodae may suspend or terminate access immediately and without prior notice where reasonably necessary to:
Termination of your Account does not affect any rights or obligations that arose before the termination takes effect.
If you believe your Account or Content has been restricted, suspended or removed in error, you may contact Goodae to request a review.
Where appropriate, you should provide any information that may assist our review.
Goodae will consider appeals fairly and in good faith, taking into account the information reasonably available.
Our decision following a review will be final unless otherwise required by applicable law.
We strive to keep the Platform available and functioning reliably.
However, we do not guarantee uninterrupted access to the Platform.
From time to time, the Platform may be unavailable due to:
Goodae may modify, suspend or discontinue any feature or Service where reasonably necessary to improve the Platform, maintain security or comply with legal obligations.
Goodae provides technology that connects Users and Organisations.
Unless expressly stated otherwise, Goodae:
While we encourage Organisations to provide safe and meaningful volunteer experiences, Goodae does not control how Volunteer Opportunities are conducted.
Users should exercise their own judgement before participating in any activity.
Volunteering can involve physical activities, travel, interactions with members of the public or other circumstances that may carry inherent risks.
By choosing to participate in a Volunteer Opportunity, you acknowledge that you are voluntarily participating at your own discretion.
You are responsible for determining whether a Volunteer Opportunity is suitable for your own abilities, health, experience and circumstances.
Where appropriate, you should:
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded under applicable law.
Goodae is committed to acting responsibly, fairly and in good faith.
To the fullest extent permitted by applicable law, Goodae's directors, officers, employees, volunteers, contractors, advisers and authorised representatives shall not be personally liable for actions taken in good faith while performing their duties on behalf of Goodae.
Nothing in this clause excludes liability for fraud, wilful misconduct or any liability that cannot legally be excluded.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
To the fullest extent permitted by law, Goodae, its directors, officers, employees, volunteers, contractors, advisers and authorised representatives shall not be liable for any indirect, incidental, consequential, exemplary or special loss or damage arising out of or in connection with:
Goodae is not responsible for personal injury, property damage or other loss arising from Volunteer Opportunities organised by third parties, except where such liability cannot lawfully be excluded.
Where applicable law permits the limitation of liability, Goodae's total liability arising out of or relating to these Terms or your use of the Platform shall not exceed the amount paid by you to Goodae for the relevant Service during the twelve (12) months immediately preceding the event giving rise to the claim. If you have not paid Goodae for any Service, Goodae's total liability shall be limited to S$100.
You agree to indemnify and hold harmless Goodae, its directors, officers, employees, volunteers, contractors, advisers and authorised representatives against any claims, liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising out of or relating to:
This obligation continues even after your Account has been suspended or terminated.
Goodae is continually improving the Platform.
We may introduce new features, modify existing functionality, suspend features or discontinue parts of the Platform where reasonably necessary to:
Where changes materially affect your use of the Platform, we will take reasonable steps to notify Users where appropriate.
We may update these Terms from time to time to reflect changes in our Services, legal obligations or operational practices.
The latest version will always be published on the Platform with its effective date.
Where changes are material, we will take reasonable steps to notify Users through the Platform, email or other appropriate communication channels.
Your continued use of the Platform after the updated Terms take effect constitutes your acceptance of the revised Terms.
If you do not agree to the revised Terms, you should discontinue using the Platform and close your Account.
These Terms are governed by and shall be interpreted in accordance with the laws of the Republic of Singapore.
You agree that the courts of Singapore shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the Platform, except where applicable law provides otherwise.
Before commencing legal proceedings, we encourage parties to first attempt to resolve disputes through good-faith discussions.
These Terms, together with our Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and Goodae regarding your use of the Platform.
They replace any previous agreements or understandings relating to the same subject matter.
If any provision of these Terms is found to be unlawful, invalid or unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.
If Goodae chooses not to enforce a provision of these Terms on one occasion, this does not prevent us from enforcing that provision or any other provision in the future.
You may not transfer or assign your rights or obligations under these Terms without Goodae's prior written consent.
Goodae may assign or transfer these Terms as part of a merger, acquisition, corporate restructuring or sale of assets, provided such transfer does not materially reduce your rights under these Terms.
Nothing in these Terms creates any partnership, joint venture, agency, employment or fiduciary relationship between Goodae and any User or Organisation.
Goodae operates solely as the provider of the Platform unless expressly stated otherwise.
Any provisions of these Terms that by their nature should continue after your Account is closed or terminated—including those relating to intellectual property, indemnity, limitation of liability, dispute resolution and governing law—will continue to apply.
